Acceptance of Terms

By accessing or using Rotacean, you agree to be bound by these Terms of Service and our Privacy Policy. If you are using Rotacean on behalf of an organization, you represent that you have the authority to bind that organization to these terms. If you do not agree to these terms, you may not access or use the platform.

Service Description

Rotacean is a cloud-based shift scheduling platform that enables organizations to create, manage, and publish employee schedules. The service includes features such as shift assignment, availability tracking, swap management, conflict detection, fairness analytics, push notifications, and multi-department support. We reserve the right to modify, suspend, or discontinue any part of the service at any time with reasonable notice.

Account Registration

To use Rotacean, you must create an account by providing accurate and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to:

• Provide truthful and current information during registration.
• Keep your login credentials secure and not share them with unauthorized parties.
• Notify us immediately if you suspect unauthorized access to your account.
• Ensure that all users within your organization comply with these terms.

User Obligations

When using Rotacean, you agree not to:

• Use the platform for any unlawful purpose or in violation of any applicable laws or regulations.
• Attempt to gain unauthorized access to other accounts, systems, or networks connected to the service.
• Transmit malicious code, viruses, or any content designed to disrupt or harm the platform.
• Reverse engineer, decompile, or disassemble any part of the service.
• Resell, sublicense, or redistribute access to Rotacean without our written consent.
• Interfere with the platform's performance, security, or availability for other users.

Intellectual Property

Rotacean and all associated trademarks, logos, designs, code, and content are the exclusive property of Rotacean, Inc. and are protected by intellectual property laws. You retain ownership of the data you submit to the platform, including employee information, schedules, and organizational settings. By using the service, you grant Rotacean a limited license to process and store your data solely for the purpose of providing the service.

Limitation of Liability

To the fullest extent permitted by law, Rotacean, Inc. shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the platform. This includes, but is not limited to, loss of profits, data, business opportunities, or goodwill. Our total liability for any claim related to the service shall not exceed the amount you paid to Rotacean during the twelve months preceding the claim. The service is provided on an "as is" and "as available" basis without warranties of any kind, whether express or implied.

Termination

You may terminate your account at any time by contacting our support team or through your account settings. We may suspend or terminate your access if you violate these terms, engage in fraudulent activity, or fail to pay applicable fees. Upon termination, your right to use the service ceases immediately. We will retain your data for a reasonable period to allow for export, after which it will be permanently deleted in accordance with our data retention policy.

Governing Law

These Terms of Service are governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law provisions. Any disputes arising from these terms or your use of Rotacean shall be resolved exclusively in the state or federal courts located in San Francisco County, California. Both parties consent to the personal jurisdiction of these courts.
